Welcome to EduModes, an educational platform designed to enhance learning experiences through various courses and interactive content. These Terms of Service ("Terms") govern your access to and use of the EduModes website, mobile applications, and services (collectively, the "Platform").

Please read these Terms carefully before using our Platform. By accessing or using EduModes, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

1. Definitions

In these Terms, the following terms shall have the meanings assigned to them below:

• "EduModes," "we," "us," or "our" refers to the operators of the EduModes platform.
• "User," "you," or "your" refers to any individual or entity that accesses or uses the Platform.
• "Content" refers to all materials available on our Platform, including courses, videos, texts, images, and other educational materials.
• "Subscription" refers to a recurring payment plan that provides access to designated content for the duration of the active subscription period.
• "Course" refers to individual educational modules or programs available for purchase or access on our Platform.
• "Razorpay" refers to Razorpay Software Private Limited, the third-party payment processor that handles payment transactions on our Platform.

2. Account Registration and Eligibility

2.1 Account Creation

To access certain features of the Platform, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 Eligibility Requirements

By using the Platform, you represent and warrant that:

• You are at least 13 years of age. If you are under 18, you must have the consent of a parent or legal guardian to use the Platform.
• You have the legal capacity to enter into binding contracts.
• You are not prohibited from using the Platform under applicable laws.
• Your use of the Platform does not violate any applicable law or regulation.

2.3 Account Security

You are responsible for safeguarding your account information and for all activities that occur under your account. You agree to:

• Notify EduModes immediately of any unauthorized use of your account or any other breach of security.
• Ensure that you log out from your account at the end of each session.
• Not share your account credentials with any third party.

EduModes reserves the right to disable any user account if, in our opinion, you have violated any provision of these Terms.

3. Platform Usage and Content

3.1 License to Use

Subject to these Terms, EduModes grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform and its Content for personal, non-commercial educational purposes.

3.2 Restrictions on Use

You agree not to:

• Copy, modify, distribute, sell, or lease any part of the Platform or its Content without our explicit written permission.
• Reverse engineer, decompile, or attempt to extract the source code of the Platform.
• Use the Platform for any illegal purpose or in violation of any local, state, national, or international law.
• Attempt to gain unauthorized access to any part of the Platform or any other systems or networks connected to the Platform.
• Use automated means, including spiders, robots, crawlers, or data mining tools, to download, scrape, or index data from the Platform.
• Interfere with or disrupt the operation of the Platform or servers or networks connected to the Platform.
• Share your account or course access with others or allow multiple users to use your account.

3.3 User-Generated Content

Certain parts of the Platform may allow users to post reviews, comments, or other content. By submitting content to the Platform, you:

• Grant EduModes a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content.
• Represent and warrant that you own or control all rights to the content you post and that the content does not infringe upon the rights of any third party.
• Agree not to post content that is illegal, abusive, defamatory, obscene, threatening, or that contains viruses or other harmful components.

EduModes reserves the right, but has no obligation, to monitor, edit, or remove any user-generated content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

4. Payments and Billing

4.1 Payment Processing through Razorpay

EduModes uses Razorpay, a third-party payment processor, to process all payments on our Platform. By making a payment, you agree to Razorpay's terms of service and privacy policy in addition to these Terms. EduModes is not responsible for any issues related to the processing of payments by Razorpay.

When you provide your payment information, you represent and warrant that:

• You have the legal right to use the payment method you provide.
• The payment information you provide is true, correct, and complete.
• You authorize EduModes and Razorpay to charge your payment method for the amounts due for your purchases.

4.2 Course and Subscription Fees

The Platform offers various pricing options, including one-time purchases for individual courses and recurring subscription plans. All fees are displayed in the applicable currency and include all applicable taxes unless otherwise stated.

For subscription plans:

• Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date.
• You authorize EduModes and Razorpay to charge your payment method for the subscription price at the beginning of each billing period.
• You can cancel your subscription at any time through your account settings or by contacting customer support.

4.3 Pricing Changes

EduModes reserves the right to change the pricing of courses and subscription plans at any time. If we change the price of a subscription plan, we will notify you in advance. By continuing to use the subscription after the price change takes effect, you agree to pay the updated price.

4.4 Refunds

Our refund policy is outlined in our separate Refund Policy, which is incorporated into these Terms by reference. Please review our Refund Policy for information about eligibility, process, and timeframes for refunds.

4.5 Payment Security

Razorpay implements various security measures to protect your payment information. EduModes does not store your complete payment information on our servers. All payment data is encrypted and securely processed through Razorpay's systems in compliance with industry standards.

5. Intellectual Property Rights

5.1 EduModes Content

All content on the Platform, including but not limited to courses, videos, texts, graphics, logos, icons, images, and software, is the property of EduModes or its content providers and is protected by copyright, trademark, and other intellectual property laws.

5.2 Trademarks

"EduModes" and other related logos, product and service names are trademarks of EduModes or its affiliates. You may not use these trademarks without the prior written consent of EduModes.

5.3 Copyright Infringement

If you believe that any content on the Platform infringes your copyright, please contact us with the following information:

• A description of the copyrighted work that you claim has been infringed.
• The URL of the material that you claim is infringing.
• Your address, telephone number, and email address.
• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
• A statement by you, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

6. Disclaimer of Warranties

The Platform and all content provided through it are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

EduModes does not warrant that:

• The Platform will function uninterrupted, secure, or available at any particular time or location.
• Any errors or defects will be corrected.
• The Platform is free of viruses or other harmful components.
• The results of using the Platform will meet your requirements.

Educational content on EduModes is for informational purposes only. EduModes does not guarantee specific educational outcomes or results from using our Platform.

7. Limitation of Liability

To the maximum extent permitted by applicable law, EduModes, its affiliates, officers, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Platform.
• Any conduct or content of any third party on the Platform.
• Any content obtained from the Platform.
• Unauthorized access, use, or alteration of your transmissions or content.

In no event shall EduModes' total liability to you for all claims related to the Platform exceed the amount paid by you to EduModes for the Platform during the twelve (12) months preceding the event giving rise to the liability.

8. Indemnification

You agree to defend, indemnify, and hold harmless EduModes, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses, including but not limited to attorney's fees, arising from:

• Your use of and access to the Platform.
• Your violation of any term of these Terms.
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
• Any claim that your user-generated content caused damage to a third party.

9. Termination

EduModes may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Modifications to the Platform and Terms

10.1 Changes to the Platform

EduModes reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Platform or any service, content, feature, or product to which it connects, with or without notice, and without liability to you.

10.2 Changes to These Terms

EduModes reserves the right to update or change these Terms at any time. We will provide notice of significant changes by posting the new Terms on the Platform and/or by sending you an email. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.

Please review these Terms periodically for changes. If you do not agree to any of the changes to these Terms, you must stop using the Platform.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of the Platform shall be submitted to the exclusive jurisdiction of the courts located in Kerala, India.

Any dispute, claim, or controversy shall first be attempted to be resolved amicably through negotiations between you and EduModes. If such dispute cannot be resolved within thirty (30) days from the date on which either party notifies the other in writing of the existence of a dispute, then either party may refer such dispute to arbitration.

12. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. The failure of EduModes to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

13. Complete Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and EduModes regarding the Platform and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.
